Terms of Service
The agreement between you and the operator of b420.io. Read it before you connect a wallet, trade, launch a token or stake.
Effective date: 1 September 2026 · Last updated: 1 September 2026 · Version 2026-09-01
Key points
The short version
- B420 is a website. It builds transactions and shows public market data. It never holds your money, never holds your keys and never signs anything for you.
- A 1.00% platform routing fee applies to every swap you make through the Interface, taken onchain inside the same transaction you sign. The fee actually charged is shown in the swap panel before you sign. Tokens launched here also charge a 1% pool fee on each side.
- Anyone can launch a token here. Nobody vets it. Names, images, descriptions and links are written by strangers and go onchain permanently.
- New launches trade on a bonding curve. Buys in the first seconds of a launch pay a snipe tax that starts at 99% and fades over the launch window; the token page shows it while it applies.
- Tokenized stocks are issued and controlled by third parties, not by us. Holding one is not owning the underlying share.
- Staking and dividend rewards come from trading fees actually collected. They are variable, unguaranteed and can go to zero. Unbonding takes 48 hours.
- Onchain transactions are final. We cannot reverse them, recover keys or restore lost funds.
- You can lose everything you put in. Nothing on this site is financial, legal or tax advice.
This box is a reading aid. It is not part of the agreement, it is not binding, and it does not replace the full text below. Where the summary and the sections differ, the sections govern.
01Introduction and acceptance
These Terms of Service (the Terms) govern your access to and use of the website at https://b420.io, any subdomain of it, the progressive web app installed from it, the public read endpoints described on /docs, and any related software published by us (together, the Interface).
"Terms of Use" means these Terms. Some links, footers and third-party pages refer to a "Terms of Use", a "User Agreement" or a "Terms and Conditions" document. There is only one such document for B420 and you are reading it. If you arrived here looking for any of those names, this is it.
By accessing the Interface, connecting a wallet, signing a transaction built by the Interface, or using our public API, you accept these Terms. If you do not accept them, do not use the Interface.
These Terms cover the Interface only. They do not govern the public smart contracts themselves, the Base network, any token you buy, or any third-party service you reach through the Interface. Those are governed by their own code, their own terms, or by nothing at all. Data handling is described in our Privacy Policy, which forms part of these Terms and is not repeated here.
These Terms are a contract, not advice. They are written to be readable, but they are not a substitute for professional guidance. Where anything here matters to your situation, take your own legal, tax and financial advice before you act.
02Who we are and what B420 is
The Interface is operated by CC0 COMPANY [LEGAL ENTITY NAME AND REGISTERED ADDRESS TO BE COMPLETED] (we, us, our, the Operator). The site footer states that B420 is a platform built by CC0 COMPANY. You can reach us at legal@b420.io.
B420 is a non-custodial web interface to public smart contracts deployed on the Base network (chain id 8453) and to public market data. Concretely, the Interface reads the chain and third-party price APIs, displays the result, and builds transaction payloads that your own wallet signs and broadcasts. Our servers never take custody of assets and hold no signing key. The launch endpoint states this in its own source: the browser sends the deployment transaction and you pay the gas.
What B420 is not
We are not, and we do not hold ourselves out as, any of the following:
- a broker, dealer or introducing broker;
- a securities exchange or an alternative trading system;
- a custodian, wallet provider of record, trustee or depositary of your assets;
- a bank, credit institution, e-money issuer or deposit-taker;
- a money transmitter, payment institution, money services business or exchange service between fiat and crypto;
- an investment adviser, portfolio manager, financial planner or analyst;
- a fiduciary of any kind, and we owe you no fiduciary duty.
We do not match orders on our own book, we do not take the other side of your trade, we do not hold client money, and we do not accept deposits. Every price you see comes from a public pool or a public data provider, and every trade you make is a transaction between your wallet and a smart contract.
B420 is an independent project. It is not affiliated with, sponsored by or endorsed by Base, Coinbase, Uniswap, or the issuer of any third-party token listed or referenced on the Interface, including any tokenized stock. That disclaimer does not extend to our own assets. $B420, $B69, their staking pools, and the B420 protocol contracts described in these Terms, including the B20 factory, the fee locker, the fee collector and the hook, are the project's own tokens and the Operator's own contracts. Sections 8 and 16 describe them on that basis.
Privileged contract powers
Some of the B420 contracts carry administrative powers, and these Terms describe them where they matter: the factory owner can mark the factory deprecated and stop new launches (section 6), and the staking contract owner can add or retire reward tokens (section 8). Those powers are held by the Operator or by an admin address the Operator controls. They exist, they are not removable, and using the Interface means accepting that you are relying on them being exercised honestly and competently. We give no warranty that they will be, and a loss of, or misuse of, an admin key could affect launches, reward availability or fee flow. Tokens launched through the factory are a separate case: their token admin is set to the zero address at deployment, so nobody holds admin powers over an individual launched token.
03Eligibility and restricted jurisdictions
By using the Interface, you represent and warrant, each time you use it, that:
- you are at least 18 years old, or older if the law where you live sets a higher age for entering contracts or dealing in crypto assets;
- you have full legal capacity to enter into these Terms;
- if you are acting for a company or other organisation, you are authorised to bind it, and "you" means that organisation;
- you are not subject to economic or trade sanctions, and you are not listed on any sanctions or restricted-party list maintained by the United Nations, the European Union, the United Kingdom, the United States (including the OFAC Specially Designated Nationals list) or any other competent authority;
- you are not owned or controlled by, and you are not acting for or on behalf of, any person described in point (d);
- you are not located in, ordinarily resident in, or organised under the laws of a territory subject to comprehensive sanctions programmes. At the date of these Terms that includes Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, Zaporizhzhia and Kherson regions of Ukraine. This list follows the sanctions programmes as they change from time to time;
- your use of the Interface is lawful where you are, and you are not using a VPN, proxy or any other method to hide your location or to get around a restriction in these Terms;
- you are not accessing the Interface for, or on behalf of, anyone who could not use it directly under this section;
- you will not use, export or re-export the Interface, the SDK or any related software, technology or data in breach of any applicable export control or sanctions law, including the US Export Administration Regulations and any equivalent regime that applies to you, and you will not make any of it available to a person or destination barred under such a law.
3.1 US persons are not permitted
The Interface is not available to US persons. By accessing or using the Interface you represent and warrant that you are not a US person, that you are not located in the United States or any of its states, districts, territories or possessions, and that you are not accessing or using the Interface for the account or benefit of a US person.
"US person" has the meaning given in Regulation S under the US Securities Act of 1933, as amended, and in any event includes: a citizen or resident of the United States, wherever they are located; a partnership, corporation, trust, estate or other entity organised or incorporated under the laws of the United States or of any state of it; a branch or agency of a non-US entity located in the United States; and any account, whether discretionary or not, held by a dealer or other fiduciary for the benefit or account of any such person.
If you become a US person, or move to the United States, you must stop using the Interface immediately.
How this representation is made and recorded. Before the login sheet opens, the Interface requires you to tick, as a separate and deliberate act, a statement that you accept these Terms and the Privacy Policy and that you are not a US person, are not located in the United States and are not acting for the benefit of a US person. The checkbox is never pre-ticked. When you then authenticate, the version of these Terms you accepted and a server-side timestamp are written to your profile. You make this representation afresh every time you connect, and it is treated as repeated for the duration of every session.
Giving false or misleading information under this section is a material breach of these Terms. We may block your access, refuse to build a transaction, and suspend or delete your profile, at any time and without notice. We are not liable for any loss, cost, tax, penalty or regulatory consequence you suffer as a result of breaching this restriction, and you indemnify us under section 20 for any claim arising from it. Blocking the Interface does not block the underlying smart contracts, which remain public, and nothing here should be read as our permission to reach them by other means.
Further restrictions. The Operator may restrict access from additional countries or categories of person beyond those named above. Any such further restrictions are set out here: [ADDITIONAL RESTRICTED JURISDICTIONS TO BE COMPLETED WITH COUNSEL]
We may block access, refuse to build a transaction, or stop serving any address or region at any time, with or without notice, including where we believe there is a legal, sanctions or regulatory reason to do so. Blocking the Interface does not block the underlying smart contracts, which remain public.
Nothing on the Interface is an offer or solicitation in any place where such an offer or solicitation would be unlawful. Availability of the Interface in your country is not our confirmation that your use is legal there. Working that out is your responsibility.
04Your wallet and your keys
The Interface is non-custodial. You keep control of your assets at all times, and you are solely responsible for your wallet, your keys and every transaction you sign.
Sign-in and embedded wallets
Authentication and wallet infrastructure are provided by Privy, a third party. On mobile you sign in with an X (Twitter) account. On desktop you may sign in with X, with an email address, or by connecting an external wallet. If you sign in without an existing wallet, Privy creates an embedded wallet for you and holds the key material on its own infrastructure under its own terms and privacy policy. We do not see, receive, store or transmit your private key or seed phrase, and no B420 server holds any key capable of moving your funds or signing a blockchain transaction. Our servers do hold ordinary application secrets, such as third-party API credentials and the private key used to sign browser push notification requests. None of those can touch your wallet, your assets or the chain.
Tap-to-trade: read this carefully. For embedded wallets, the Interface is configured so that transactions are signed without a separate wallet confirmation screen. A single tap in the B420 user interface, including the Quick Buy button on the home page and the buy and sell buttons on a token page, is the only confirmation step before a real, irreversible onchain transaction is sent from your wallet. If you use an external wallet, that wallet keeps its own confirmation prompts.
Key export
If you have an embedded wallet, you can export its private key from the wallet page. The export happens inside a window controlled by Privy. The key never passes through our code and we never store it. Exporting a key is a serious step: once exported, the security of that key is entirely yours, and anyone who obtains it controls the wallet. External-wallet users have nothing to export from us.
What we cannot do
You accept that we cannot, under any circumstances and regardless of the reason:
- recover, reset or reissue a lost private key, seed phrase or wallet;
- restore access to an embedded wallet if you lose access to the X account or email address it is tied to;
- reverse, cancel, refund, amend or claw back a transaction once it has been broadcast or confirmed;
- recover assets sent to a wrong address, a contract that cannot return them, or the wrong network;
- freeze, unfreeze or seize anyone's tokens;
- restore funds lost to a scam token, a phishing site, a compromised device or a mistaken tap.
You are responsible for keeping your login credentials, devices and recovery methods secure, and for checking every address and amount before you act.
05Trading and fees
How a trade works here
The Interface displays market data and builds a transaction. It does not execute trades. When you press buy or sell, the Interface constructs a payload and your wallet signs and broadcasts it. Execution then happens on public infrastructure that we do not control: Uniswap v4 pools and the Universal Router on Base, Permit2 approvals, or a third-party aggregator route from KyberSwap or 0x. The counterparty is a pool, never us.
Trading on a bonding curve
A token that has not yet graduated trades against its own bonding curve contract, not a Uniswap pool. Curve trades are built by the Interface and signed by you, execute directly against the curve with a fixed 1% slippage floor, and pay the curve's own fees described in section 6 (the 1% base fee, any creator tax, and, in the opening seconds of a launch, the snipe tax). The platform routing fee below does not apply to curve trades. The fee actually charged is shown on the token page before you sign. Once a token graduates, it trades on its Uniswap v4 pool like any other token and the rest of this section applies.
Platform routing fee
A platform routing fee of 1.00% (100 basis points) of the swap applies to every trade made through the Interface, on the direct Uniswap v4 route, on a multi-hop Uniswap v4 route, and through the aggregator. It is taken onchain, inside the same transaction you sign, and paid to the B420 Strategic Reserve at 0xA3320DCaFAa124173fdf7BD18EcD85abBA325590.
A multi-hop route is used where a token's quote asset is not WETH, which includes every launch paired against a tokenized stock or another B20 token. Those trades pay the same 1.00% routing fee, taken on the output side, plus the pool fee on each hop they cross.
On both Uniswap v4 routes the fee is taken on the output side, and your minimum-received check is applied after the fee. On the aggregator route the fee is taken on the input side and is built into the quote. If you were referred, see section 9 for the reduced rate.
Routing is chosen automatically from the token's pool and is not something you select. The fee actually charged for a given trade is shown in the swap panel before you sign, and that figure is the authoritative one. The rates in this section are current as of the version date of these Terms. We may change them, and may change which routes carry a fee, prospectively and without notice, under section 22.
Where a routing fee applies, it is separate from, and additional to, the pool fee charged by the pool itself. Every token launched through B420 trades in a pool pinned at 1% on each side. So a buy and then a sell of a WETH-quoted B420 launch on the direct route costs roughly 4% in fees in total, before slippage and before gas. On a multi-hop route the routing fee is the same, but the pool fee is charged on every hop of every leg, so the total is higher and depends on which pools the route crosses. Other tokens carry whatever fee their own pool charges. Check the figures shown in the swap panel rather than relying on this example.
You also pay Base network gas on every transaction. Gas goes to the network, not to us. We do not refund gas on a failed or reverted transaction.
Slippage, MEV and execution
On a token page, the swap panel lets you choose a slippage tolerance: 0.5%, 1%, 5%, or an automatic setting derived from pool depth. The Quick Buy button on the home page has no slippage control and uses a fixed 2% tolerance. A higher tolerance makes a fill more likely and a bad price more likely too. The Interface does not route through a private mempool, so your pending transaction is visible and can be front-run or sandwiched by others. We do not protect you against MEV and we do not compensate for it.
No guarantee
We do not guarantee any price, any quote, any execution, any fill, any confirmation time, or that the Interface will be available at all. Quotes are estimates based on data that may be stale. A transaction may fail, revert, be reordered, be delayed or be dropped for reasons outside our control, including pool state changes, RPC failures, insufficient gas and network congestion. Displayed balances, prices, charts, market caps and profit and loss figures are informational and can be wrong.
You are solely responsible for every trade decision you make, including which token you buy, how much you commit and what settings you use.
06Launching tokens
The Interface lets anyone launch a token onto a bonding curve through the B420 curve factory. The transaction is sent from your browser, you sign it, and you pay a fixed launch fee (shown on the form before you sign; the fee is set onchain and we may change it prospectively) plus Base gas. An optional first buy settles inside the same launch transaction. Launching may be closed or restricted to allow-listed wallets at any time; the state shown on the form reflects the onchain switch.
The bonding curve and graduation
A launched token's entire supply starts on its own bonding curve contract, which prices buys and sells by a constant-product formula against a virtual quote reserve. There is no presale and no team allocation. When the curve has raised its graduation threshold in the chosen quote asset, the curve closes permanently and its reserves seed a Uniswap v4 pool at the same price; the liquidity position is transferred to a locker contract that has no withdrawal function of any kind. Graduation thresholds are set per quote asset, are shown on the launch form, and are frozen for each launch at the moment it is created. A curve that never reaches its threshold simply keeps trading on the curve; there is no deadline and no refund mechanism. Between the moment a curve fills and the moment its pool is seeded, trading in that token is unavailable in both venues.
Curve trade fees, creator tax and the launch-window snipe tax
Every trade on a curve, and every swap on the graduated pool, pays a 1% base fee on the quote leg, split between the creator and the protocol at the rates frozen for that launch (the current defaults are shown on the launch form; stock-quoted launches route a portion of the protocol side to the treasury). At launch the creator may add a creator tax of up to 10% on top of the base fee, paid entirely to the creator. The tax is written into the contracts at launch and can never be changed or removed afterwards, by anyone. The combined fee actually charged is shown on the token page before you trade.
Buys landing in the opening seconds of a launch additionally pay a snipe tax that starts at 99% of the quote leg and decays to zero over the launch window shown on the form. It applies to everyone except the creator's declared wallets, it cannot be turned off, and its proceeds join the ordinary fee split. If you buy a token in the first seconds after its launch you may lose almost the entire amount to this tax. The token page shows the current tax while the window is open; you are responsible for checking it before you buy.
Buyback and lock
A creator may enable a buyback option, under which half of the creator's own share of the base fee is used to market-buy the token and lock it in a shared vesting contract that releases linearly over five years. Enabling or disabling it only affects fees charged afterwards. Locked amounts are subject to the vesting contract's rules and are not recoverable early by anyone.
You are the creator
If you launch a token, you are its creator and you are solely responsible for it. That includes its name (up to 48 characters), its symbol (up to 12 characters), its image, its description (up to 500 characters), its website and social links (up to 200 characters each), the paired quote token you choose, the fee arrangement you select, and every statement you make about it anywhere.
Tokens launched here are deployed with the token admin set to the zero address, so no party, including us and including you, holds admin powers over the token contract after deployment. The token name, symbol, image URI, description and links are written into the token contract and indexed onchain. This is permanent and cannot be edited, corrected or deleted by anyone, including us. Images uploaded through the Interface are pinned to IPFS and are publicly retrievable by content identifier for as long as any node pins them.
Creator warranties
When you launch a token you represent and warrant that:
- you own or have all rights and licences needed for the name, symbol, image, text and links you submit, and they do not infringe anyone's copyright, trade mark, publicity, privacy or other rights;
- the token and everything you write about it are not fraudulent, deceptive, defamatory, obscene, hateful, or an impersonation of any person, project or brand;
- the launch does not breach any law that applies to you, including securities, commodities, consumer-protection, sanctions and anti-money-laundering law;
- you are not launching to conduct an unregistered securities offering, a fraud, a pump-and-dump, a rug pull or any other scheme to deceive buyers;
- you understand and accept the fee arrangement you select, including the creator share and any dividend routing, and that it is fixed at deployment.
No vetting, no endorsement
We do not review, verify, vet, approve, audit, screen or endorse any token launched through the Interface, or its creator, or anything the creator says. Appearance of a token in the markets list, the launches feed, the Pulse board or anywhere else on the Interface is not a recommendation and not a sign of legitimacy, safety or quality. Assume nothing has been checked, because nothing has.
We may remove or hide any token, launch, image or metadata from the Interface at our sole discretion, at any time and without notice, including for suspected fraud, infringement, illegality or abuse. Removal from the Interface does not remove anything from the blockchain. The token, its metadata and its pool continue to exist onchain and remain reachable through other tools. We have no ability to delete onchain data.
The factory owner can also stop the Interface from producing new launches entirely by setting the factory to deprecated. Existing tokens and pools are unaffected by that switch.
07Tokenized stocks
The Interface references tokenized stock assets on Base, currently a set of Coinbase tokenized stocks such as NVDAc, AAPLc, GOOGLc and METAc, held in an onchain registry with a maximum of ten entries. The Interface lets you swap into and out of them, allows them as the quote asset for a launch, and the protocol buys them with collected fees so that they can be distributed to stakers.
We do not issue, create, mint, back, custody, redeem, settle, guarantee or make a market in any tokenized stock. They are issued and controlled entirely by third parties. We are not their agent, distributor or promoter.
A token that references an equity is not the equity. Holding it gives you no shareholding, no voting rights, no dividend entitlement, no registration on any share register, no investor protection scheme and no claim of any kind against the company whose name it references, nor against us.
Whether you may hold or trade a tokenized stock, and on what terms, is determined by the issuer's own terms and by the law where you are. Some of these assets are restricted or unavailable in some countries and to some categories of person. Read the issuer's documentation and check your own position before you touch them.
The issuer can pause, freeze, seize, restrict, delist or discontinue these assets at any time, without reference to us. Because of that, tokenized stocks can be removed from the B420 registry immediately and without notice, while additions are subject to a 48-hour timelock. Prices of these assets can diverge from the underlying equity, can behave differently outside the underlying market's trading hours, and can be illiquid or unquotable onchain.
Nothing on the Interface is an offer, solicitation or recommendation by us to buy or sell any security, or a distribution of any security by us. Any B420 protocol purchase of a tokenized stock is an automated smart-contract operation funded by collected fees, not a managed investment or a service performed for you.
08Dividend vaults and staking
The Interface displays permissionless smart contracts that let you stake tokens and claim rewards: the staking pools for $B420 and $B69, and per-token dividend vaults created by launch creators. You interact with these contracts directly from your own wallet. Approving, staking, requesting an unstake, withdrawing, cancelling and claiming are all transactions that you sign. We charge no platform fee on any of them and you pay gas only.
Staking is not a deposit. It is not an account with us, it is not protected by any deposit-guarantee or investor-compensation scheme, and it is not a loan to us. We do not take, hold or manage your staked tokens. They sit in a public smart contract.
Rewards are funded only by trading fees that the protocol actually collects and distributes. They are variable, not promised, not guaranteed and can be zero for any period. There is no fixed rate, no minimum, no target and no principal protection. Any yield, APR or projected figure shown anywhere on the Interface is an estimate derived from past or current fee flow and is not a forecast or a commitment.
Unbonding and cooldown
The staking pools and every dividend vault use a 48-hour cooldown. You should understand the mechanics before you use them:
- requesting an unstake stops your rewards immediately, at the moment of the request, not at the end of the cooldown;
- making a second unstake request resets the 48-hour clock for the whole unbonding balance, including the part that was already close to being withdrawable;
- withdrawal takes the entire unbonded balance at once, not a chosen amount;
- during the cooldown your tokens are locked in the contract and are exposed to price movement while earning nothing.
Reward accrual and fee distribution rely on permissionless keeper calls that anyone, including you, can trigger from the rewards page. Nobody is obliged to call them. Reward tokens can be added or retired by the contract owner, and the reward basket can shrink without notice.
Dividend vaults are created by token creators, not by us. A creator may route up to 25% of a token's total trading fees to its vault through the launch interface. Whether a vault ever receives anything depends entirely on whether that token trades.
09Referral programme
Every profile has a referral code, which is simply its username. Sharing https://b420.io/r/<username> sets a cookie in the visitor's browser that lasts 30 days and records the referral on their profile when they first sign in.
Where a referral applies, the numbers today are:
- the referred trader pays a reduced platform routing fee of 0.90% instead of 1.00%;
- of that, 0.23% of the swap is paid directly to the referrer's wallet onchain in the same transaction, and 0.67% goes to the B420 Strategic Reserve;
- the discount and the referrer's cut apply to trades made on either Uniswap v4 route, from the swap panel on a token page and from the Quick Buy button on the home page.
- Trades routed through the KyberSwap or 0x aggregator pay the full 1.00% with no referrer cut, because that fee is taken on the input side inside a third party's calldata. Routing is chosen automatically and is not something you control, so a referred trader will not receive the discount on every trade.
These figures follow from the current fee configuration and rounding in the code. If the base fee or the referral constants change, the numbers change with them. We make no promise about how much anyone will earn, or that any referral will be recorded, matched or paid. Cookies can be cleared, blocked or lost, and a referral that is not recorded cannot be recovered.
We may change, suspend or end the referral programme, or any individual code, at any time and without notice. Abuse is prohibited and forfeits any accrued benefit. Abuse includes self-referral, referring wallets you control, creating fake or bulk accounts, wash trading or churning volume to farm fees, spamming referral links, and any misleading claim about B420, its returns or its rewards made to promote a code.
10Card purchases and bridging
The Interface embeds a fiat onramp operated by Stripe and a cross-chain bridge quote provided by Relay. Both are independent third parties. Your use of them is governed by their terms and their privacy policies, not by ours.
- Card purchases. Stripe collects your payment details, runs its own identity and anti-money-laundering checks, sets its own fees, limits and currencies, and decides whether to approve or refuse a purchase. We create the session and lock the delivery address to your connected wallet. We never see or handle card data, never hold fiat, never process a payment and never receive your money. We do not set or mark up Stripe's fees.
- Refunds and chargebacks are entirely a matter between you, Stripe and your card issuer. Once crypto has been delivered onchain it cannot be returned by us. A chargeback does not reverse a blockchain transaction.
- Bridging. A euro card purchase may deliver ETH on Ethereum mainnet, which then needs bridging to Base. The Interface requests a quote from Relay and shows you one transaction to sign. Relay's fee is inside that quote and is not set by us.
- Bridge risk. If Relay fails to fill, is delayed, or ceases operating after you have signed, your funds may remain on Ethereum mainnet or be stuck in transit. We cannot fill, refund, reverse or chase a bridge transfer, and we are not liable for one.
We do not guarantee that the onramp or the bridge will be available, that a purchase will be approved, or that delivery will happen within any time. Any dispute about a purchase, a refusal, a limit, a KYC decision or a bridge fill must be raised with the provider concerned.
11User content
User Content means anything you submit through the Interface: your username, display name, bio, avatar image or URL, your written theses about a position, and the name, symbol, image, description and links you attach to a token you launch.
Ownership and licence
You keep whatever rights you already have in your User Content. By submitting it, you grant us a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to host, store, cache, reproduce, adapt for display, publish, distribute and display that content in connection with operating and promoting the Interface, including in shareable images generated by the Interface. This licence lasts as long as we need it to run the Interface, and it survives for content that has already been published onchain or to IPFS, because we cannot withdraw those.
You represent that you own or have the rights to everything you submit, and that it does not infringe anyone else's rights.
What is public
Usernames, display names, bios, avatars and theses are public. They appear on profile pages, on the leaderboard, on token holder lists and in shareable cards. Do not put anything in them that you would not publish. See the Privacy Policy for what else is public by default.
Prohibited content
You must not submit content that:
- infringes copyright, trade marks, publicity, privacy or any other right;
- impersonates a person, project, brand or official account, or is designed to make people think it is one;
- is fraudulent, deceptive or a knowingly false statement about a token or its prospects;
- is unlawful, defamatory, harassing, hateful, threatening or incites violence;
- is obscene, or depicts or sexualises minors;
- contains malware, exploit code, or links to phishing or malicious sites;
- promotes sanctioned parties, terrorism, or illegal goods and services;
- is spam, or is automated bulk content published to manipulate a listing or a ranking.
Removal
We may remove, hide, edit or refuse to display any User Content, and may suspend or delete any account or profile, at our sole discretion and without notice. We have no obligation to monitor or review User Content and we do not pre-screen it.
Onchain content is permanent. Anything written into token metadata at launch, anything pinned to IPFS, and any memo emitted onchain by a token contract exists outside our control forever. We can stop showing it on the Interface. We cannot delete it, correct it or make it unreachable. Memos shown on token pages are written by arbitrary onchain addresses, not by us, and the only filtering applied is the removal of memos containing links. Treat all of it as unverified.
Reporting infringing content
If you believe content shown on the Interface infringes your intellectual property rights, or otherwise breaks these Terms, write to legal@b420.io. To let us act on a report, include:
- identification of the work or right concerned, and enough detail to establish what you own or are authorised to enforce;
- the location of the content on the Interface, such as the token address, the profile URL or the page URL;
- your name and contact details, including an address we can reply to;
- a statement that you believe in good faith that the use complained of is not authorised by you, your agent or the law;
- a statement that the information in your report is accurate and that you are the rights holder or authorised to act for them.
We review reports and may remove or hide the content, and may suspend or terminate the account responsible. We terminate repeat infringers in appropriate circumstances. We give no turnaround time and no undertaking to act on any particular report. A counter-notice may be sent to the same address. Remember that removal from the Interface does not remove anything from the blockchain or from IPFS, and that we have no ability to delete onchain data.
12Acceptable use
You must not, and must not help anyone else to:
- engage in market manipulation, including wash trading, spoofing, layering, ramping, pump-and-dump schemes, coordinated price manipulation and manufactured volume to influence a ranking, a listing or a fee flow;
- use the Interface to commit or further fraud, theft, a rug pull or a deceptive scheme;
- launder money, finance terrorism, evade sanctions, or move the proceeds of crime;
- impersonate any person or entity, or misrepresent your affiliation with one;
- use the Interface if you are barred under section 3, or help anyone who is barred to use it, including by masking location or identity;
- attempt to gain unauthorised access to any part of the Interface, any account, any server, or any connected system, or probe, scan or test its security without our written permission;
- introduce malware, exploit a vulnerability, or interfere with the operation, integrity or availability of the Interface, including denial-of-service activity;
- reverse engineer, decompile or disassemble any part of the Interface except to the extent the law says you may;
- scrape, crawl, harvest or bulk-collect data through automated means beyond the fair use described in section 13, or in a way that degrades service for others;
- circumvent or attempt to circumvent the platform fee, a rate limit, a block, a geographic restriction, or any other technical or contractual control;
- resell, sublicense or commercialise access to the Interface, or present it as your own product;
- use the Interface to abuse, harass, dox or endanger any person, or to collect personal data about other users beyond what the Interface displays;
- use the Interface for any purpose that is unlawful where you are or where we operate.
Breaking this section may result in immediate suspension or a permanent block, forfeiture of any referral benefit, and where appropriate a report to the relevant authorities.
13Developer API and SDK
We publish a set of public read endpoints and a software development kit, documented on /docs. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to call those endpoints and use the SDK to build applications.
- The endpoints are unauthenticated and cached at the edge. Please respect the documented caching, the documented limits (including the caps on list sizes and offsets) and reasonable fair use. Do not hammer them, and do not build a product whose normal operation depends on high-frequency polling.
- We may impose, change or enforce rate limits, require keys, restrict or block clients, change response shapes, deprecate endpoints or withdraw the API entirely, at any time and without notice.
- There is no service level, no uptime commitment and no support obligation. The API is provided as is, on the same terms as the rest of the Interface.
- Data returned by the API comes from the chain and from third-party providers. It may be delayed, incomplete or wrong. You must not present it to your own users as guaranteed, verified or authoritative.
- You may state factually that your product uses B420 data. You must not use our name, logo or branding in a way that suggests we endorse, sponsor, partner with, audit or take responsibility for your product, and you must not present your product as an official B420 product.
- You are responsible for your own users, your own terms, your own compliance, and for any personal data you handle. Do not use our endpoints to build profiles of individuals, to enrich identity databases, or for any purpose that would breach data protection law.
We may revoke this licence at any time. On revocation you must stop calling the endpoints and stop using the SDK.
14Third-party services and data
The Interface depends on services we do not own or control. They include, without limitation:
- Privy for authentication and embedded wallet key infrastructure;
- Stripe for card purchases of crypto, and Relay for bridge quotes;
- Pinata and IPFS for pinning and serving images;
- CoinGecko, GeckoTerminal and DexScreener for prices, charts and pair data;
- KyberSwap and 0x for aggregator swap routing and calldata;
- Base RPC providers, Alchemy, Etherscan and Blockscout for chain reads, balances, transfer history and transaction broadcast, and Ethereum mainnet RPC providers for the bridge leg;
- Uniswap v4 contracts on Base, including the pool manager, the Universal Router, the quoter and Permit2;
- browser push services operated by Google, Mozilla and Apple for notifications;
- Vercel for hosting and analytics, Railway for the database, and Google Fonts for typefaces;
- wallet connectors, including WalletConnect and Coinbase Wallet infrastructure, when you connect an external wallet.
We are not responsible for these services, their availability, their accuracy, their fees, their decisions or their acts and omissions. Your use of them is subject to their own terms and privacy policies, which you should read. A failure or outage at any of them can degrade or break the Interface, and we are not liable for that.
All price, market, chart, holder, position, profit-and-loss, ranking and volume data on the Interface is provided as is and for information only. It comes from public chain data and third-party APIs that can rate-limit, return incomplete results or return wrong ones. It may be delayed, stale, inaccurate, incomplete or entirely absent. Leaderboards and profit-and-loss figures are estimates built from indexed data and are not a statement of account. Do not rely on any of it for a financial decision without checking it yourself onchain.
Links from the Interface to third-party sites, including block explorers, social accounts and token websites, are provided for convenience. We do not control or endorse them.
15Intellectual property
The Interface, its design, layout, text, graphics, the B420 name and logo, and the underlying front-end and back-end software published by us are owned by the Operator or its licensors and are protected by intellectual property law. Nothing in these Terms transfers ownership of any of it to you.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Interface for your own lawful use. You may not copy, modify, distribute, sell, lease, frame, mirror or create derivative works from the Interface, or use our branding as though we endorse you, except as section 13 allows or as the law permits regardless of contract.
The smart contracts and the chain are different. The smart contracts the Interface talks to are deployed publicly on Base. Anyone can call them directly, with any tool, without using the Interface and without our permission. Blockchain data, including token metadata, balances, pool state and transaction history, is public data and is not owned by us. Where a contract or a repository is published under an open source licence, that licence governs the code it covers and prevails over this section for that code.
Token names, symbols, images and brands displayed on the Interface belong to their respective creators or owners. Their appearance here is not a claim of ownership by us, and not an endorsement.
16Risk disclosure
Read this section properly. Trading crypto assets, and memecoins in particular, is extremely high risk. You can lose all of the money you put in, quickly and with no recourse. Do not commit funds you cannot afford to lose entirely. This section is not a complete list of every risk.
Total loss
The value of any token available through the Interface can fall to zero and stay there. There is no floor, no guarantee, no insurance, no compensation scheme and no bailout. Most tokens launched permissionlessly on any platform end up worthless.
Memecoin volatility and worth
$B420, $B69 and the tokens launched through this Interface are memecoins. They have no intrinsic value, no cash flows, no assets behind them and no promise of return. Prices are driven by attention and can move by very large percentages within minutes.
Smart contract and protocol risk
Every contract involved, including the factory, the fee locker, the fee collector, the staking pools, the dividend vaults, the hook, the pools and the routers, is software. Software has bugs. A bug, an exploit, an economic attack or an unforeseen interaction can drain, lock or destroy funds permanently. The B420 contracts are not upgradeable and not pausable beyond narrow switches, so a discovered flaw may not be fixable in place. An audit, if one exists, does not make code safe.
Third-party creators
Anyone can launch a token here and nobody checks them. Creators may abandon a project, lie about it, dump their holdings, manipulate the price, or coordinate with others against buyers. Creators keep a share of trading fees permanently. Assume a creator acts in their own interest.
Liquidity
Liquidity in a pool can be thin or can disappear. You may be unable to sell at any price, or only at a price far below the last quote. Thin pools mean large slippage and make manipulation cheap. A displayed market capitalisation is a calculation, not money that exists.
Irreversibility
Onchain transactions are final. There is no undo, no cancellation, no chargeback and no customer-service reversal. A wrong amount, a wrong address, a wrong network, a wrong token or a mistaken tap is permanent. Remember that for embedded wallets there is no separate confirmation screen.
Approvals and permissions
Trading requires token approvals and Permit2 signatures granting spending permission to router contracts. A malicious or compromised contract with an approval can move your tokens. Review what you sign and revoke approvals you no longer need.
Infrastructure dependency
The Interface depends on RPC providers, indexers, price APIs, hosting and a database. Outages, rate limits and incomplete responses can leave the Interface showing wrong balances or wrong prices, or unable to build a transaction at all. Portfolio and history data can be incomplete because upstream providers do not always return everything.
Bridge, onramp and network risk
Bridging depends on a third party filling. Card purchases depend on Stripe approving. The Base network can congest, halt, reorganise or change its rules. Any of these can leave funds delayed, stranded or lost.
Tokenized stock risk
Tokenized stocks are third-party instruments that can be paused, frozen, seized, delisted or discontinued by their issuer without notice. Their onchain price can disconnect from the underlying share, especially outside the underlying market's trading hours or during a corporate action. They may be restricted where you live. They give you no rights against the referenced company.
Staking and reward risk
Rewards depend on fee flow that may stop. Unbonding locks your principal for 48 hours with no rewards, and a second request restarts the clock on the whole balance. Reward tokens can be retired by the staking contract owner. Contract owner keys exist and are held by the Operator or an address it controls, as section 2 explains, and their misuse, loss or compromise could redirect fee flows or affect reward availability.
Regulatory risk
The legal treatment of crypto assets, tokenized securities, decentralised exchanges and interfaces like this one is unsettled and changing. New law, a regulator's decision or an enforcement action could restrict, suspend or end your ability to use the Interface or to hold or trade any asset on it, possibly at short notice and possibly while you hold a position.
Tax
You are solely responsible for working out and paying any tax arising from your activity, including on trades, swaps, staking rewards, dividends, airdrops, referral income and creator fees. We do not withhold tax, do not report on your behalf and do not provide tax figures you can file. The profit-and-loss numbers shown on the Interface are estimates, not tax records.
Key loss and account loss
Losing your private key, or losing access to the social or email account tied to an embedded wallet, means losing the assets in it permanently. We hold no key material and cannot recover anything.
Phishing and impersonation
Fake B420 sites, fake support accounts, fake airdrops and malicious approval prompts are common. Check the domain is b420.io every time. We will never ask for your seed phrase or private key, never ask you to move funds to a "safe" address, and never contact you first to fix a problem with your wallet.
17No advice
Nothing on the Interface is investment advice, financial advice, a recommendation, a solicitation, legal advice, tax advice or accounting advice, and nothing on it should be treated as such.
That applies to every part of the Interface, including leaderboards and rankings, profile pages and portfolio values, theses and any other text written by other users, shared profit-and-loss cards and images, charts, price and volume statistics, holder lists, security profiles, the Pulse board, the strategy and tokenomics pages, and anything posted from an official B420 social account.
We do not know your circumstances, objectives or risk tolerance, and we do not assess suitability or appropriateness for anyone. No content on the Interface is personalised to you.
Other users are not our agents and we do not verify what they write. A thesis is one stranger's opinion about their own position, and they may hold that position and benefit if you follow them. A high leaderboard rank reflects estimated past figures derived from indexed data, which may be wrong, and which may be produced by luck or by deliberate manipulation. Past performance shown anywhere on the Interface does not predict future results.
Take independent professional advice before making a financial decision. Do your own research.
18Disclaimers
To the maximum extent permitted by law, the Interface and everything on it are provided "as is" and "as available", with all faults and without warranty of any kind.
We disclaim all warranties, conditions and representations, whether express, implied or statutory, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from a course of dealing or usage of trade.
We do not warrant, and expressly disclaim any promise, that:
- the Interface will be available, uninterrupted, timely, secure or error-free;
- any defect will be corrected, or that the Interface is free of harmful components;
- any data, price, chart, ranking, balance or figure shown is accurate, current or complete;
- any transaction will be built correctly, broadcast, confirmed, or executed at any particular price;
- any smart contract is free of bugs, secure, or will behave as described;
- any token, pool, creator or third-party service is legitimate, solvent, lawful or safe;
- any reward, dividend, referral payment or yield will arise, continue or be paid;
- your use of the Interface is lawful in your jurisdiction.
We are not responsible for the acts or omissions of any third party, including token creators, other users, wallet and infrastructure providers, aggregators, data providers, the onramp, the bridge, the issuers of tokenized stocks, and the operators of the Base network. We do not act as an intermediary or guarantor between you and any of them.
Some jurisdictions do not allow the exclusion of certain warranties. Where that applies to you, the exclusions above apply only to the extent the law permits, and you may have rights that these Terms cannot remove.
19Limitation of liability
To the maximum extent permitted by law, the Operator, and its owners, directors, officers, employees, contractors and agents, will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, loss of revenue, loss of anticipated savings, loss of business or goodwill, loss of data, or loss in value of any crypto asset, arising out of or connected with the Interface or these Terms, whether in contract, tort (including negligence), strict liability or otherwise, and whether or not we were advised that such loss was possible.
To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or connected with the Interface or these Terms is limited to the greater of: (a) the total platform routing fees generated by your trades through the Interface and received by the B420 Strategic Reserve in the six months immediately before the event giving rise to the claim, whether or not any of it passed through the Operator; and (b) ten United States dollars (USD 10).
Without limiting the above, we are not liable for losses arising from: price movement of any asset; a trade, launch, stake or claim you chose to make; slippage, MEV, front-running or sandwiching; a failed, reverted, delayed, reordered or dropped transaction; gas spent on any transaction; a bug, exploit or failure in any smart contract; the acts, omissions, insolvency, suspension or discontinuation of any third-party service or token issuer; inaccurate, stale or missing market data; loss of a key, a seed phrase or a login; unauthorised access to your wallet, device or account; phishing, impersonation or fraud by anyone; or any event described in section 16.
These limits apply in aggregate across all claims and do not reset with each claim. They reflect a reasonable allocation of risk given that the Interface is non-custodial and that we do not control the chain, the contracts or the third parties involved.
Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded. That includes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, and any other liability that mandatory law where you live does not allow us to exclude. If you are a consumer, you keep your mandatory statutory rights and this section applies only to the extent the law allows. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
20Indemnification
You agree to indemnify, defend and hold harmless the Operator and its owners, directors, officers, employees, contractors and agents from and against any claim, demand, action, investigation, loss, liability, damage, fine, penalty, cost and expense (including reasonable legal fees) arising out of or connected with:
- your use of, or activity through, the Interface;
- your breach of these Terms or of any law or regulation;
- any token you launch, including its metadata, its marketing, its fee arrangement and any claim made by a buyer of it;
- any User Content you submit, including any claim that it infringes a third party's rights;
- your infringement of the rights of any third party;
- your tax obligations;
- your use of any third-party service reached through the Interface.
We may take over the defence of any matter subject to this section at your expense, and you must cooperate with us. You must not settle any such matter in a way that admits fault on our behalf or imposes any obligation on us without our written consent. This section survives termination. If you are a consumer, this section applies only to the extent permitted by the law that protects you.
21Assumption of risk and release
You use the Interface at your own risk. You acknowledge that you have read section 16, that you understand the risks described there, and that you accept them. You confirm that you have enough knowledge of crypto assets, wallets, smart contracts and market risk to evaluate what you are doing, and that you are responsible for your own decisions, your own settings and your own security.
You accept in particular that: we do not hold your assets; we cannot reverse a transaction or recover a key; tokens on the Interface are unvetted; rewards are not guaranteed; data may be wrong; and the value of anything you buy may go to zero.
To the maximum extent permitted by law, you release the Operator and its owners, directors, officers, employees, contractors and agents from all claims, demands and damages of every kind arising out of or connected with a dispute between you and a third party, including a token creator, another user, a counterparty, a wallet or infrastructure provider, a data provider, an aggregator, the onramp or bridge provider, or the issuer of a tokenized stock. If you are a consumer, this release applies only to the extent the law that protects you allows.
22Suspension, modification and termination
We may modify, suspend, restrict, degrade or discontinue the Interface, or any feature of it, in whole or in part, at any time, for any reason and without notice or liability. That includes removing tokens from display, disabling launches, disabling swap routing, changing the routing fee and which routes carry it prospectively, withdrawing the API, and shutting the Interface down entirely.
We may suspend or terminate your access, or delete or rename a profile, username, display name, bio, avatar or thesis, at our sole discretion, including where we believe you have broken these Terms, where we believe there is a legal, sanctions, security or regulatory reason, or where your activity harms other users or the Interface.
You may stop using the Interface at any time, and that is the whole of your termination right. We never hold your assets, so there is nothing for us to return: your tokens, staked balances and claimable rewards are onchain and remain accessible directly through the contracts, as described below. You do, however, have a profile record with us. It exists on our servers, it survives until it is deleted, and what it contains, how long we keep it and how to have it deleted are covered by the Privacy Policy, not by this section.
Your positions do not depend on us. Your tokens, staked balances, vault positions, LP fee entitlements and claimable rewards live in public smart contracts on Base and in your own wallet. If we suspend your access, or if the Interface disappears entirely, those positions remain yours and remain reachable by interacting with the contracts directly, using any wallet, block explorer or tool you choose. Contract addresses are published on /docs. Doing that is your responsibility and requires your own technical care.
Sections that by their nature should survive do survive termination, including sections 11, 13, 15, 16, 17, 18, 19, 20, 21, 24 and 25.
23Changes to these terms
We may change these Terms at any time. When we do, we will update this page and change the "Last updated" date at the top. If a change is material, we will make a reasonable effort to give notice, for example by a notice on the Interface or a post from an official B420 account before the change takes effect. [PRIOR NOTICE PERIOD FOR MATERIAL CHANGES TO BE CONFIRMED WITH COUNSEL]
Changes take effect when published, or on the later date stated in the update. Your continued use of the Interface after that point means you accept the updated Terms. If you do not accept them, stop using the Interface. Changes do not apply retroactively to a dispute that arose before they took effect.
We recommend checking this page before any significant activity. Keeping a copy of the version you agreed to is sensible.
24Governing law and dispute resolution
Governing law and venue: [GOVERNING LAW AND VENUE TO BE COMPLETED WITH COUNSEL]
These Terms, and any dispute or claim arising out of or connected with them or with the Interface, including non-contractual disputes, are governed by the law stated above. The courts stated above have exclusive jurisdiction, except where mandatory law gives you the right to bring proceedings in the courts of your own country of residence, in which case that right is preserved.
Informal resolution first
Before starting formal proceedings, please write to legal@b420.io describing the issue, what you want, and the wallet address and dates involved. We will try to resolve it with you in good faith within 30 days. Most problems are faster to fix this way.
Arbitration and class action waiver. The Operator must decide, with legal advice, whether to adopt the following paragraph. It is not in force unless it is retained and the bracketed details are completed.
Any dispute arising out of or in connection with these Terms shall be finally settled by binding arbitration administered by [ARBITRAL INSTITUTION TO BE COMPLETED] under its rules then in force, by a single arbitrator, seated in [SEAT OF ARBITRATION TO BE COMPLETED], in the [LANGUAGE TO BE COMPLETED] language. You and the Operator each waive any right to a trial by jury and agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated or representative proceeding.
This clause must not be published as written. Arbitration and class-action waivers are unenforceable or restricted against consumers in several jurisdictions, and any adopted version needs an opt-out mechanism and consumer carve-outs appropriate to the chosen governing law. [ARBITRATION AND CLASS ACTION WAIVER TO BE DECIDED WITH COUNSEL]
Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a competent court, or from reporting a matter to a regulator or law-enforcement authority.
25General
Severability. If any provision of these Terms is held invalid, illegal or unenforceable, it is to be modified to the minimum extent needed to make it enforceable, or if that is not possible, severed. The rest of these Terms remains in full force.
Entire agreement. These Terms, together with the Privacy Policy and any notice or policy we publish and reference here, are the entire agreement between you and us about the Interface, and replace any earlier understanding on that subject. Nothing in the marketing, the documentation, a social post or a community chat adds a promise to this agreement.
Assignment. You may not assign or transfer these Terms or any right under them without our written consent. We may assign or transfer them, in whole or in part, to an affiliate or in connection with a merger, reorganisation or sale of assets, on notice published on the Interface.
No waiver. If we do not enforce a provision, that is not a waiver of it. A waiver is only effective if given by us in writing, and applies only to the instance it names.
Force majeure. We are not liable for any failure or delay caused by something beyond our reasonable control, including network congestion, forks, reorganisations or halts on Base or Ethereum, failures of RPC, hosting, database, indexing or data providers, outages at Privy, Stripe, Relay, IPFS or a wallet provider, exploits or attacks on third-party protocols, changes in law or regulatory action, power or internet failure, natural disaster, epidemic, war, terrorism, industrial action and cyberattack.
No partnership. Nothing in these Terms creates a partnership, joint venture, agency, employment or fiduciary relationship between you and us.
Third parties. Except for the people and entities named as beneficiaries in sections 19, 20 and 21, no third party has any right to enforce these Terms.
Headings. Section numbers and headings are for reference only and do not affect interpretation. The word "including" means "including without limitation".
Language. These Terms are written in English. If we publish a translation and there is any conflict, the English version governs, except where mandatory law in your country requires otherwise.
Notices. We may give notice by posting on the Interface or by any contact method you have linked. You give notice to us at legal@b420.io.
